JEFFREY W. UBBEN is a Founder, Chief Executive Officer and the Chief Investment Officer of ValueAct Capital. Prior to founding ValueAct Capital in 2000, Mr. Ubben was a Managing Partner at Blum Capital Partners for more than five years. Mr. Ubben is a director of Willis Group Holdings plc, and a former chairman and director of Martha Stewart Living Omnimedia, Inc., a former director of Acxiom Corp., Catalina Marketing Corp., Gartner Group, Inc., Insurance Auto Auctions, Inc., Mentor Corporation, Omnicare, Inc., Misys, plc, Per-Se Technologies, Inc., Sara Lee Corp. and several other public and private companies. In addition, Mr. Ubben serves as chairman of the national board of the Posse Foundation, is on the board of trustees of Northwestern University, and is also on the board of the American Conservatory Theater. He has a B.A. from Duke University and an M.B.A. from the J. L. Kellogg Graduate School of Management at Northwestern University.
GEORGE F. HAMEL, JR. is a Founder and the Chief Operating Officer of ValueAct Capital. Prior to founding ValueAct Capital in 2000, Mr. Hamel was a Partner at Blum Capital Partners (“Blum”) for more than four years. While at Blum, Mr. Hamel was primarily responsible for client services, development, and reporting. Prior to joining Blum, Mr. Hamel was a partner in the investment management firm of Private Capital Management, Inc. (“PCM”) responsible for client development and administration, regulatory compliance, reporting, and trading. In addition, Mr. Hamel was also President of Carnes Capital Corporation, an affiliated NASD member broker dealer. He was previously President of Signet Investment Corporation, the investment subsidiary of Signet Banking Corporation, and was a financial consultant at Merrill Lynch. Mr. Hamel is a member of the Board of the University of Wisconsin Foundation, a member of the Chancellor’s Advisory Council and also a member of the Board of Visitors of the College of Letters and Science at the University of Wisconsin-Madison, a trustee of Bard College, and on the board and a past President of North Beach Citizens, a non-profit organization aiding the homeless. He has a B.A. from the University of Wisconsin-Madison.
G. Mason Morfit, CFA is the President of ValueAct Capital. Prior to joining ValueAct Capital in January 2001, Mr. Morfit worked in equity research for Credit Suisse First Boston. Mr. Morfit is a director of Microsoft Corporation and Valeant Pharmaceuticals International and a former director of Advanced Medical Optics, Inc., C.R. Bard, Inc., Immucor, Inc., MSD Performance, Inc. and Solexa, Inc. He has a B.A. from Princeton University, and is a CFA charterholder.
BRADLEY E. SINGER is a Partner of ValueAct Capital. Prior to joining ValueAct Capital in May 2012, Mr. Singer was the Senior Executive Vice President and Chief Financial Officer of Discovery Communications, Inc. (“Discovery”) for close to four years. Prior to Discovery, Mr. Singer was the Chief Financial Officer & Treasurer of American Tower Corp (“American Tower”) for seven years. Prior to American Tower, Mr. Singer worked as an investment banker at Goldman, Sachs & Co for four years in New York and London. Mr. Singer is a director of Motorola Solutions, Inc. and is a former director of Martha Stewart Omnimedia and Citizens Communications Corp. In addition, Mr. Singer currently serves on the Boards of the Posse Foundation, the National Child Research Center, and the McIntire School of Commerce at the University of Virginia. He has a B.S. from the University of Virginia and an M.B.A. with Distinction from Harvard Business School.
KELLY J. BARLOW, CFA is a Partner of ValueAct Capital. Prior to joining ValueAct Capital in August 2003, Mr. Barlow worked at EGM Capital (“EGM”) for more than six years. During his tenure at EGM, he served primarily as portfolio manager of the firm’s flagship long/short equity fund. Prior to EGM, Mr. Barlow worked at Wells Capital Management (“WCM”), a wholly owned subsidiary of Wells Fargo Bank. Mr. Barlow is a director of Adobe Systems Inc. and a former director of Allscripts-Misys Healthcare Solutions, Inc., KAR Auction Services, Inc. and Sirva, Inc. He has a B.S. with Honors from California State University, Chico and is a CFA charterholder.
RYAN M. BIRTWELL, CFA is a Partner at ValueAct Capital, having joined in June 2004. Mr. Birtwell is a director of KAR Auction Services, Inc. and Seitel, Inc. He received a B.A. from Middlebury College in 2004 and is a CFA charterholder.
TODD F. BOURELL is a Partner of ValueAct Capital. Prior to joining ValueAct Capital in May 2001, Mr. Bourell worked at Wellington Management Company as an analyst covering the telecommunications services industry. Previously, Mr. Bourell worked for four years as an analyst at Peak Investment, L.P. Mr. Bourell is a former director of Gevity HR, Inc. and Insurance Auto Auctions, Inc. He has a B.A. from Harvard College and an M.B.A. from the Wharton School at the University of Pennsylvania.
BRANDON B. BOZE, CFA is a Partner of ValueAct Capital. Prior to joining ValueAct Capital in August 2005, Mr. Boze worked in investment banking for Lehman Brothers for three years. Mr. Boze is a director of CBRE Group, Inc. and a former director of Valeant Pharmaceuticals International. He has a B.E. from Vanderbilt University and is a CFA charterholder.
GREGORY P. SPIVY is a Partner of ValueAct Capital. Prior to joining ValueAct Capital in September 2004, Mr. Spivy worked with Gryphon Investors, a private equity fund with $500 million in investments. Previously, Mr. Spivy was a Managing Director at Fremont Partners (“Fremont”), a private equity firm. Prior to joining Fremont, Mr. Spivy was a Director with The Bridgeford Group, and began his career in the mergers and acquisitions department of Lehman Brothers. Mr. Spivy is the chairman and a director of Seitel, Inc., a director of KAR Auction Services, Inc., the former chairman of MSD Performance, Inc. and a former director of MDS, Inc., MSC Software Corp. and PRA International. He has a B.A. from Northwestern University.
ALLISON A. BENNINGTON is the General Counsel and a Partner of ValueAct Capital. Prior to joining ValueAct Capital in April 2004, Mrs. Bennington was the General Counsel of Atriax, Ltd. (“Atriax”), a joint venture of Deutsche Bank, J.P. Morgan Chase, Citibank and Reuters. Prior to joining Atriax, Mrs. Bennington was a Managing Director of Robertson Stephens, a full service investment bank, where she ran the Legal Department. Mrs. Bennington was previously a Partner in the London office of Brobeck Hale and Dorr International. Mrs. Bennington is a director of Seitel Inc. and is a member of the Advisory Board of the Program on Corporate Governance at Harvard Law School. She has a B.A. from the University of California at Berkeley and a J.D. from the University of California, Hastings College of the Law.
CHARLES SIU, CPA is the Chief Financial Officer and a Partner of ValueAct Capital. Prior to joining ValueAct Capital in May 2006, Mr. Siu was a partner of Onsight Associates (“Onsight”), a San Francisco-based financial advisory firm that provides financial reporting and fund administrative support. While at Onsight, Mr. Siu consulted with a number of venture capital firms and hedge funds as a contract CFO/Controller. Prior to Onsight, Mr. Siu worked in the Venture Capital & Private Equity Group and the Real Estate Tax Group at PricewaterhouseCoopers, LLP. He has a B.S. and an M.S. from Golden Gate University and is a Certified Public Accountant.
BRIANA J. ZELAYA is a Partner of ValueAct Capital. Prior to joining ValueAct Capital in 2000 at its inception, Mrs. Zelaya was in Investor Relations at Blum Capital Partners (“Blum”). While at Blum, Mrs. Zelaya was responsible for the production of all client reports and correspondence, consultant and performance database management and reporting, maintenance of the firm’s client and prospect database, and development of presentation and marketing materials. She has a B.A. from Loyola Marymount University and an M.B.A. from the Kellogg Graduate School of Management at Northwestern University.
